Terms and Conditions for Research Participation

Definitions
Health Data: Any information related to the Participant’s physical health, fitness, or well-being that is collected, recorded, or generated by Wearable Devices, or is self-reported by the Participant. This includes, but is not limited to, data on heart rate, activity levels, sleep patterns, calorie expenditure, step counts, and other biometric metrics, as well as any associated timestamps or contextual information.

Transfer: The act of transmitting or supplying Health Data from the Participant to the Research Team in accordance with these Terms and Conditions and the informed consent process.
​
Wearable Device: Any electronic device designed to be worn on the Participant’s body that collects, monitors, or tracks health, fitness, or activity-related data. This includes, but is not limited to, smartwatches, fitness trackers, rings, or other similar devices manufactured by third parties, such as Apple Watches, Fitbits, Garmin devices, Oura rings, and comparable technologies.

Participant: An individual who meets the eligibility criteria and has agreed to take part in the research study, having provided explicit consent as described herein.
Research Team: Kardiaport Ltd, their employees, agents, consultants, and authorised representatives responsible for conducting the research study and processing Participant data.

Consent: The explicit, informed, and freely given agreement by the Participant to the collection, processing, and use of their Health Data and personal data for the purposes set out in these Terms and Conditions.
Introduction
Welcome, and thank you for considering participation in our research study. These Terms and Conditions govern your involvement in the study, which aims to gather and analyse health-related data to advance scientific understanding. Please read this document carefully before you agree to participate.

This research study is designed to collect historical health and activity data from individuals who use wearable technology. By participating, you will contribute valuable information that helps us explore patterns and insights related to health and wellness. The data for this study will be gathered from your third-party wearable devices, such as an Apple Watch or Fitbit and self-reported submissions. Your participation is entirely voluntary.

The Terms and Conditions and Privacy Policy will be regularly updated to ensure compliance with evolving legal and operational requirements. Participants will be notified of any updates via email, and their continued participation in the study will constitute acceptance of the updated terms. Participants may opt out if they do not agree with the changes.

Eligibility
​
To be eligible to participate, the Participant must meet the following criteria:

Be aged 60 years or over.

Own and use a compatible third-party wearable device (e.g., Apple Watch, Fitbit) that has recorded historical health and activity data.

Be willing and able to provide explicit consent for the collection and use of your data as described in these terms.
Data Collection and Usage
The Research Team will collect historical Health Data that has been recorded by the Wearable Device. The Research Team will not track the Participant’s data in real-time or collect any future data from the Wearable Device.

The Health Data will be used exclusively for internal research purposes; however, the purpose of the use will differ in the future, and we will notify you accordingly. The Research Team process this data based on the Participant’s explicit consent, which serves as the Research Team’s valid legal basis under the General Data Protection Regulation (GDPR) and the UK Data Protection Act 2018. The Research Team’s legitimate interest is to conduct scientific research to gain new insights into health and activity trends, which may be commercialised at a later date by us. The Health Data will not be sold, shared with, or licensed to external third parties for marketing or commercial purposes.

Providing Health Data
Subject to these terms and conditions, the Participant agrees to provide the Research Team with access to their historic Health Data.

The Transfer will be completed through a secure, encrypted platform provided by the Research Team. Participants will be guided through the process to ensure the data is transferred accurately and securely.
​
Participant Consent
The Participant's participation is conditional upon providing explicit consent. Before sharing any data, the Participant will be presented with a clear consent form detailing the specifics of the data the Research Team wants to collect and how it will be used.

The Participant has the right to withdraw their consent and discontinue participation at any time, without providing a reason. If the Participant chooses to withdraw, the Participant may request the deletion of their previously collected data, subject to any limitations where the data has already been fully anonymised and integrated into the Research Team’s research analysis.

To withdraw, the Participant must contact the Research Team using the details provided under ‘Contact Information’.
Participant Responsibilities
The Participant agrees to:

Provide accurate and truthful data.

Not submit data that they do not have the legal right to share.

Notify the Research Team promptly if they become aware of any inaccuracies or errors in the data provided.

Comply with all applicable laws and regulations in relation to the data they provide.
Data Security and Privacy
The Research Team are committed to protecting the Participant's privacy and safeguarding the Participant's personal information. The Research Team implement robust technical and organisational measures to ensure the security of the Participant’s data. These measures include:

Anonymisation: As soon as it is practical, the Participant’s data will be de-identified. The Participant's name and other direct identifiers will be replaced with a unique participant code.

The Research Team will store all data securely on Microsoft Azure, which provides robust baseline security measures. Additional internal safeguards will be implemented to minimise risks associated with third-party breaches. These measures include:

Regular encryption audits to ensure compliance with GDPR and UK Data Protection Act 2018.

A dedicated data protection plan to address risk mitigation and ensure secure data handling.
Third-Party Involvement
This research study is conducted independently and is not affiliated with, sponsored by, or endorsed by Apple Inc., Fitbit (a part of Google LLC), or any other manufacturer of wearable devices. These companies are not partners in this research and have no responsibility for the conduct of this study. The Participant’s agreement to participate in this study is separate from any agreements they have with the manufacturer of the Wearable Device.
Jurisdiction and Compliance
This research study is conducted in compliance with applicable laws, including the General Data Protection Regulation (GDPR) and the UK Data Protection Act 2018. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. The Participant agrees that any disputes arising from these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of England and Wales.

Intellectual Property
All predictive models, research findings, and other outputs developed using the Health Data will be the sole property of the Research Team.
The Participant acknowledges that they will not have any claim to ownership, royalties, or other compensation related to the intellectual property generated from the use of their Health Data.

Privacy and Data Protection
The collection, processing, and use of the Health Data will be governed by the Research Team’s Privacy Policy and Data Protection Policy, which outline how the Participant's data is handled, stored, and protected.
The Participant confirms that they have read and agree to these policies.
The Research Team will implement robust technical and organisational measures, including encryption and anonymisation, to ensure the security and confidentiality of the Health Data.

Limitation of Liability
The Research Team shall not be liable under or in connection with these terms for any indirect, incidental, or consequential damages.
​
The Research Team will not be liable to the Participant under or in connection with these terms (regardless of whether such liability arises in tort, contract, or in any other way and whether or not caused by negligence or misrepresentation) for consequential, indirect, or special losses.
​
Nothing in these terms will limit or exclude the Research Team’s liability for:

Death or personal injury caused by negligence.

Fraud or fraudulent misrepresentation.

Any other losses which cannot be excluded or limited by law.
The Participant’s participation in this study is at their own risk. The Research Team is not liable for any issues, malfunctions, or data loss related to the Wearable Device. The Research Team makes no warranties, express or implied, regarding the operation of the Wearable Device. The Research Team’s liability is limited strictly to the obligations set out in these Terms and Conditions and does not extend to any matter outside the direct scope of the research study. This study is not intended to provide medical advice, and the Participant should always consult a qualified healthcare professional for any health concerns.
Purpose of Study (Use of Health Data)
The Health Data provided by Participants will be used exclusively for the purposes of conducting scientific research to gain insights into health and activity trends. The data will not be used for marketing, advertising, or any other commercial purposes unrelated to the research objectives.

Termination
Either party may terminate this agreement at any time prior to the Transfer by providing written notice to the other party.
​
Following the Transfer, this agreement shall be considered fulfilled and cannot be terminated.
​
Termination prior to the Transfer will release both parties from their respective obligations under this agreement.

Amendments and Updates
The Research Team reserves the right to amend these Terms and Conditions from time to time. Should any substantial changes be made, the Research Team will notify the Participant via the email address the Participant provides. The Participant’s continued participation in the study following such notification will constitute acceptance of the updated terms.

Schedule 1
Participants must:

Have a wearable adherence rate of the Wearable Device of at least 80% for the time period the historic Health Data covers;

Not have any comorbidities (this is to be reviewed by the Research Team on a case-by-case basis);
-
Not be taking any medications that may or will impact the results of the Research Team’s research study.
